Adopting annual accounts: how a Dutch BV takes the resolution

The general meeting adopts the annual accounts of a Dutch BV: in a meeting, with a resolution outside a meeting or, if all shareholders are directors, by signing.

How do you adopt the annual accounts?

The annual accounts of a Dutch BV (private limited company) are adopted by the general meeting (art. 2:210(3) DCC). That can happen in a meeting, by a resolution outside a meeting if all persons entitled to attend the meeting agree to that method (art. 2:238 DCC), or, if all shareholders are also directors, by all directors and supervisory directors signing (art. 2:210(5) DCC). You then file within eight days.

  • Signing and adopting are two separate acts: the board signs the prepared annual accounts, the general meeting adopts them.
  • Adoption does not grant discharge, except where adoption takes place by signing (art. 2:210(3) and (5) DCC).
  • In every financial year at least one general meeting is held, or a resolution is passed at least once outside a meeting or by signing (art. 2:218 DCC).

What do you need?

  • The prepared annual accounts, signed by all directors and supervisory directors.
  • The articles of association: method of adoption, notice period, appropriation of result and whether adoption by signing is excluded.
  • The shareholder register: who are the persons entitled to attend the meeting?
  • The proposal for the appropriation of the result.
  • For a proposed dividend: a liquidity forecast for the distribution test.
  • A resolution document or minutes in which you record the date.

Adopting in eight steps

  1. Have the board prepare and sign the annual accounts
  2. Establish who is entitled to attend the meeting
  3. Choose the route
  4. Pass the resolution to adopt
  5. Decide on the appropriation of the result
  6. Have the board approve the distribution
  7. Grant discharge separately
  8. Record the date and file within eight days

Step 1. Have the board prepare and sign the annual accounts

The board prepares the annual accounts within five months after the end of the financial year and makes them available for inspection by the shareholders. All directors and supervisory directors sign; if a signature is missing, you state the reason. If more time is needed, the general meeting can extend the period by at most five months, on the ground of special circumstances.

Why: Only annual accounts that have been prepared and signed can be adopted.

art. 2:210(1) and (2) DCC

Note: An extension is a resolution of the general meeting, not an arrangement with your bookkeeper. Record it before 31 May 2026. A director who disagrees does not sign and has the reason stated: a signal for the shareholders.

Step 2. Establish who is entitled to attend the meeting

Those entitled to attend the meeting are the shareholders with voting rights and others to whom the articles of association or the law give the right to attend, such as depositary receipt holders with meeting rights. Check the shareholder register and the articles of association.

Why: For a resolution outside a meeting and for adoption by signing, all persons entitled to attend the meeting must agree to that method. Anyone you overlook can contest the resolution later.

art. 2:238(1) DCCart. 2:210(5) DCC

Note: A BV with a single DGA (director-major shareholder) sometimes still has a second person entitled to attend the meeting, for example a trust office foundation (stichting administratiekantoor) as shareholder or a depositary receipt holder with meeting rights. Check that before you choose the signing route.

Step 3. Choose the route

There are three routes. In a meeting: notice at the latest on the eighth day before the meeting. Outside a meeting: all persons entitled to attend the meeting agree to that method, the votes are cast in writing or electronically and directors and supervisory directors are given the opportunity beforehand to advise. By signing: if all shareholders are also directors, signing by all directors and supervisory directors counts as adoption, provided the other persons entitled to attend the meeting were able to inspect the annual accounts and agreed to this method.

Why: Every route is valid, but each has its own formal requirements. The table below sets them side by side.

art. 2:225 DCCart. 2:238 DCCart. 2:210(5) DCC

Note: The articles of association can exclude adoption by signing, and can restrict electronic consent or voting. Read them before you choose.

Step 4. Pass the resolution to adopt

The resolution names the BV, the KVK number, the financial year, states that the annual accounts are adopted as prepared, and gives the date. The articles of association may not make adoption dependent on approval by another body or a third party, and may not allow binding instructions for the annual accounts.

Why: The adoption date is a statutory item: it must appear on the filed annual accounts and starts the eight-day period.

art. 2:210(3), (4) and (6) DCCart. 2:394(1) DCC

Note: If the meeting wants something different from what the board prepared, have the board prepare and sign an amended version. That way there is one version that is both signed and adopted.

Support: Jaarrekening.io records the adoption date and rejects a date on or before the balance sheet date, because adoption can never come before the end of the financial year.

Step 5. Decide on the appropriation of the result

The general meeting decides what happens to the profit: add it to the reserves or distribute it. The articles of association can restrict that power or give it to another body. Distribution is only possible to the extent that equity exceeds the reserves that the law or the articles of association require.

Why: This is the balance sheet test: statutory reserves, such as for capitalised development costs or participating interests, and reserves under the articles of association cannot be distributed.

art. 2:216(1) DCCart. 2:210(7) DCC

Note: The proposed appropriation of the result in the annual accounts and the resolution must match. If the resolution deviates, process that in the next annual accounts.

Step 6. Have the board approve the distribution

A resolution to distribute has no effect as long as the board has not given its approval. The board refuses only if it knows or reasonably ought to foresee that after the distribution the BV will not be able to keep paying its due debts. Record the test with a liquidity forecast; in practice the outlook is usually about one year.

Why: If the BV cannot pay its debts after the distribution, the directors who knew or ought to have foreseen that are jointly and severally liable for the shortfall, and a recipient who knew must pay back.

art. 2:216(2) and (3) DCC

Note: The distribution test applies at the moment of distribution, not only on the balance sheet date. If a bad period falls between the resolution and the payment, test again.

Step 7. Grant discharge separately

Adoption of the annual accounts is not a discharge for directors and supervisory directors. If you want to grant discharge, pass a separate resolution on it. Only in the case of adoption by signing (art. 2:210(5) DCC) is the discharge included automatically.

Why: Discharge limits the BV's ability to hold directors liable later for policy that was known to the meeting.

art. 2:210(3) and (5) DCCart. 2:248(6) DCC

Note: Discharge does not protect in bankruptcy: a discharge granted does not stand in the way of a claim by the trustee for improper management.

Step 8. Record the date and file within eight days

Note the date in the resolution or the minutes and put it on the publication documents. File within eight days after adoption, following the filing guide. Keep the resolution with the records.

Why: The adoption date proves that you filed on time. You keep books and records for seven years.

art. 2:394(1) DCCart. 2:10(3) DCC

Note: An adoption that falls late in the year shortens the room for repair if the filing is refused. Do not postpone until December.

Support: Jaarrekening.io calculates the final filing date from the adoption date and warns if it falls after the twelve-month limit.

The three routes side by side

RouteWhen usableWhat you recordDischarge
General meetingAlwaysNotice (at the latest the eighth day before), minutes and resolutionSeparate agenda item
Resolution outside a meetingIf all persons entitled to attend the meeting agree to this methodConsent, written or electronic votes, opportunity to advise for the board and supervisory directorsSeparate resolution
Signing (art. 2:210(5) DCC)All shareholders are directors and the articles of association do not exclude itThe annual accounts signed by all directors and supervisory directors with date, plus consent of the other persons entitled to attend the meetingIncluded

If your holding company is the sole shareholder and director of the operating company, the operating company also meets the condition of the third route.

Example: dividend after adoption

The 2025 annual accounts of a BV show equity of € 180.000, of which € 20.000 is a statutory reserve for capitalised development costs. The shareholders want to distribute € 100.000 in dividend.

TestOutcome
Equity at 31 December 2025€ 180.000
Less: statutory reserves and reserves under the articles of association€ 20.000
Room under the balance sheet test€ 160.000
Proposed dividend€ 100.000, fits within the room
Cash and cash equivalents immediately after distribution€ 45.000
Lowest cash balance according to the forecast for the next twelve months€ 18.000, no payment arrears foreseen

The balance sheet test allows € 160.000. The distribution test looks ahead: can the BV keep paying its due debts after the distribution? According to the forecast it can. The board approves the distribution and attaches the forecast to the resolution.

Had the forecast shown a shortfall, the board would have had to refuse approval, even though the balance sheet showed room. A smaller dividend, or distributing in parts, is then the alternative.

When do you call in an accountant or adviser?

With a BV whose shareholders disagree, with a dividend that makes liquidity tight or in case of doubt about the articles of association, a civil-law notary, lawyer or accountant is sensible. At a medium-sized or large BV the annual accounts cannot be adopted if the meeting has not been able to take note of the auditor's report (art. 2:393(7) DCC).

Frequently asked questions

Who adopts the annual accounts of a BV?

The general meeting, so the shareholders (art. 2:210(3) DCC). The board prepares and signs the annual accounts, but does not adopt them.

How does a DGA adopt the annual accounts?

If the DGA (director-major shareholder) is the sole shareholder and director, his signing of the annual accounts also counts as adoption, unless the articles of association exclude it or there are other persons entitled to attend the meeting who do not agree (art. 2:210(5) DCC).

Can I adopt the annual accounts in writing?

Yes, by a resolution outside a meeting, if all persons entitled to attend the meeting agree to that method. The votes are cast in writing or electronically, and directors and supervisory directors are given the opportunity beforehand to advise (art. 2:238 DCC).

Must the adoption resolution be filed with the KVK?

No, the law requires that the day of adoption appears on the filed annual accounts (art. 2:394(1) DCC). You keep the resolution yourself.

Does adoption automatically give discharge?

No. Adoption does not amount to discharge (art. 2:210(3) DCC); a separate resolution is needed for that. Only with adoption by signing by all shareholder-directors is the discharge included.
