Can I still correct filed Dutch annual accounts?
Yes. The route depends on the error and the status of the annual accounts. For a serious error after adoption, the notification duty of art. 2:362(6) DCC applies.
The short answer
Yes. The route depends on the error and the status of the annual accounts. For a serious error after adoption, the notification duty of art. 2:362(6) DCC applies.
Basis: art. 2:362(6) DCC
Which error calls for a formal notification?
If, after adoption, you discover a serious error that undermines the required insight, the board must without delay inform the members or shareholders and file a notification with the Business Register (art. 2:362(6) DCC). If the annual accounts were audited, an auditor's report belongs with that notification. Discuss with the KVK which route is open for a possible corrected filing.
First distinguish between an error in your own bookkeeping, an error in the adopted annual accounts and an error only in the publication version. A wrongly imported balance of € 50.000 is different from a typo in a note. Examine whether the error means the annual accounts no longer give a true and fair view. Article 2:362(6) DCC concerns a serious shortcoming that only emerges after adoption and requires a notification to the Business Register, accompanied by an auditor's report if an audit applies. Not every typo therefore goes through the same procedure.
How do you handle an error after adoption?
A previously published document is not wiped by a later correction. The KVK currently makes filed annual accounts available for a limited period. Before sending, check that the publication version fits your size class and keep both versions yourself.
For example: in a filed balance sheet a loan of € 80.000 was presented as equity. Total liabilities and equity may still reconcile, but the relationship between debt and equity is misleading. Document the correct entry, the effect on all items involved and the view of the board and any accountant. Then check with the KVK which correction route is possible for an already adopted filing; the portal does not simply let you replace every adopted version. State clearly which financial year and which version the notification relates to.
What do you keep for the next financial year?
If a material error affects the comparative figures of the next financial year, assess the required adjustment and note. Art. 2:363(5) DCC requires, where necessary, that prior-year amounts be restated for the sake of comparability.
Keep the original documents, the correction calculation, board resolutions and proof of the new submission together. Also compare the opening balance sheet of the next year with the corrected closing balance sheet. If an item was under a different heading last year, the reader must be able to see why the comparative column differs from the old publication. Art. 2:363(5) DCC concerns the comparability of figures; how exactly an error is handled also depends on its nature and significance. So also check whether tax returns were affected by the same error.
How do you discuss a correction with those involved?
Write in a correction memo which amounts were originally published, what the correct amounts are and which users therefore got a different picture. A shift of € 1.000 between two cost lines is different from a forgotten debt of € 100.000 that erodes equity. State when the error was discovered and whether the annual accounts had already been adopted at that point. For audited annual accounts, involve the accountant in assessing the statutory notification. Discuss with shareholders, financiers and, if relevant, the KVK which version they use and which formal step is still needed.
Also look beyond the public filing. An error in VAT, corporate income tax or payroll tax may require a tax correction, while an error in the appropriation of result may affect a dividend resolution. Compare the corrected closing balance sheet with the opening balance sheet of the next year and make the difference visible in the notes. Do not silently replace files in your internal folder; give each version a date and status. That way it stays possible to reconstruct later which decision rested on which figures and what was actually made public.

Frequently asked questions
Can I overwrite an adopted set of annual accounts in the portal?
Do not assume so. Ask the KVK which route is open for the status of your filing.
Must an accountant be involved in the correction?
For annual accounts subject to audit, an auditor's report may have to accompany the notification under art. 2:362(6) DCC.
Does a correction change the original deadline?
No. A later correction does not undo an earlier overrun of the filing deadline.
